can i book an s class ticket and use a companion voucher for a friend
then pay to upgrade my seat to uc or do i have to use miles to upgrade

Yes, you can get a companion fare with a S class fare, providing there are companion seats available. You can then either upgrade your S fare with cash or miles (if there are UC miles seats available) but you cannot upgrade the companion fare at all.
